1. Acceptance of Terms

By accessing and using SupplySphere ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

These Terms apply to all users of the Platform, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

SupplySphere provides an AI-powered supply chain intelligence platform that enables businesses to:

Discover and connect with verified suppliers
Access AI-driven supplier matching and recommendations
Utilize demand forecasting and analytics tools
Manage procurement processes and supplier relationships
Access market intelligence and industry insights

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization to use the Platform.

4. Acceptable Use Policy

You agree not to use the Platform to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Upload or transmit viruses, malware, or other malicious code
Attempt to gain unauthorized access to the Platform or related systems
Interfere with or disrupt the Platform's operation
Engage in any fraudulent, deceptive, or misleading practices
Scrape, crawl, or harvest data from the Platform without permission
Use the Platform for any illegal or unauthorized purpose

5. Intellectual Property Rights

5.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of SupplySphere or its content suppliers and is protected by international copyright laws.

5.2 User Content

You retain ownership of any content you submit to the Platform. By submitting content, you grant SupplySphere a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Platform services.

6. Payment Terms

6.1 Subscription Fees

Access to certain features of the Platform requires payment of subscription fees. All fees are non-refundable unless otherwise stated in writing.

6.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on file for all applicable fees.

6.3 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Platform after price changes constitutes acceptance of the new pricing.

7. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. We are committed to protecting your data and maintaining compliance with applicable data protection regulations, including GDPR and CCPA.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYSPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Indemnification

You agree to indemnify, defend, and hold harmless SupplySphere and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Platform shall be resolved in the state or federal courts located in New York County, New York.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Platform and updating the "Last Updated" date.

Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.
